These Terms of Use (“Terms”) govern your access to and use of the website, platform, forms, tools, services and related digital channels operated by GrowthIQ Consultancy FZCO, trading as GrowthIQ and/or GiQ (“GrowthIQ”, “we”, “us” or “our”).

By accessing our website, using our platform, submitting information, uploading documents, requesting financing support, communicating with us, or otherwise using our services, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use our website, platform or services.

1. About GrowthIQ

GrowthIQ operates a technology-enabled credit orchestration and lender-matching platform for small and medium-sized enterprises.

We help businesses:

submit financing information
upload business and financial documents
assess preliminary financing eligibility
organise application documents
analyse business and financial information
match with suitable banks, fintech lenders, private credit providers and other financing partners
prepare lender-ready application packs
progress financing applications with relevant financing providers

GrowthIQ is not a bank, lender, deposit-taking institution or credit provider. We do not make final lending decisions, approve facilities, set final pricing, issue credit limits or disburse funds.

Final approval, pricing, facility amount, documentation requirements, legal terms, disbursement and ongoing facility management are determined by the relevant financing provider.

2. Who may use our services

You may use our website, platform and services only if:

you are at least 18 years old
you have legal capacity to agree to these Terms
you are using the services for lawful business purposes
you are authorised to act on behalf of the business whose information you submit
all information and documents submitted by you are accurate, complete and lawful to provide

If you are using GrowthIQ on behalf of a company, partnership, sole establishment or other business entity, you confirm that you are authorised to bind that business to these Terms.

3. Relationship with other documents

These Terms should be read together with our:

Privacy Policy
Data Protection & Security Policy
any engagement letter, client agreement, fee agreement, platform usage agreement or other written agreement entered into between you and GrowthIQ

If there is a conflict between these Terms and a separately signed agreement between you and GrowthIQ, the separately signed agreement will prevail to the extent of the conflict.

4. No guarantee of financing

GrowthIQ may provide preliminary eligibility assessments, lender-matching outputs, indicative lender suitability, application preparation support or financing-related guidance.

These do not constitute:

a guarantee of approval
a commitment to lend
a binding offer of finance
a guarantee of pricing
a guarantee of facility amount
a guarantee of disbursement timeline
financial, investment, tax, accounting or legal advice

Any indicative terms, eligibility outputs, estimated pricing, estimated facility amounts or lender matches are subject to review, underwriting, due diligence, approval and final documentation by the relevant financing provider.

A financing provider may approve, decline, reduce, amend, withdraw or delay an application at its own discretion.

GrowthIQ is not responsible for any lender’s approval decision, pricing decision, delay, withdrawal, rejection, change in criteria, document request or disbursement process.

5. User responsibilities

You are responsible for ensuring that:

all information submitted to GrowthIQ is accurate, complete and up to date
all documents uploaded or shared are authentic, complete and not misleading
you have authority to submit information on behalf of the relevant business
you have authority to provide personal data relating to shareholders, directors, beneficial owners, authorised signatories, employees, customers, suppliers, guarantors or other third parties
you notify GrowthIQ promptly if any submitted information changes
you do not upload irrelevant, unlawful, fraudulent, misleading, harmful or unauthorised material
you use the platform only for lawful business financing purposes

If inaccurate, incomplete, outdated or misleading information is provided, this may affect lender matching, application assessment, approval prospects, financing terms or disbursement.

GrowthIQ may suspend, reject or stop processing an application if we believe that information provided is inaccurate, incomplete, misleading, unlawful, suspicious or inconsistent with our platform requirements.

6. Use of documents and information

By submitting information or uploading documents to GrowthIQ, you authorise GrowthIQ to process, analyse, store and use that information for the purpose of providing our services.

This may include:

assessing financing requirements
checking preliminary eligibility
analysing bank statements, VAT returns, invoices, financial records and other documents
preparing lender submissions
matching the business with suitable financing providers
sharing relevant documents and information with selected lenders and financing partners
communicating with lenders and financing partners regarding the application
supporting underwriting, due diligence, approval and disbursement processes
improving our platform, analytics, workflows and service delivery
complying with legal, contractual, audit, fraud prevention and regulatory obligations

Our use of personal data is further explained in our Privacy Policy and Data Protection & Security Policy.

Where you request financing support, submit an application, upload documents or ask GrowthIQ to assist with financing, you authorise GrowthIQ to share relevant information and documents with selected banks, fintech lenders, private credit providers, underwriters, financing partners and related service providers.

You understand and agree that:

lenders may request additional information or documents
lenders may conduct their own due diligence, compliance checks, credit checks, fraud checks, sanctions checks, anti-money laundering checks and know-your-customer checks
lenders may apply their own privacy policies, terms, consent forms and underwriting rules
GrowthIQ does not control the lender’s decision-making process
the lender may contact you directly in relation to your application, subject to the relevant process agreed with GrowthIQ

You authorise GrowthIQ to communicate with lenders and financing partners on your behalf in connection with the relevant financing application.

8. Platform-generated analysis

GrowthIQ may use technology, automation, rules-based logic, analytics, artificial intelligence or machine-assisted workflows to process submitted documents and generate platform outputs.

These outputs may include:

lender-matching results
eligibility indicators
document completeness checks
revenue analysis
VAT coverage analysis
bank statement analysis
average balance metrics
cash flow indicators
debt burden indicators
bounced cheque indicators
repayment capacity indicators
lender suitability analysis

Platform-generated outputs are intended to support application preparation and lender matching. They are not final credit decisions and should not be treated as financial, legal, tax, accounting or investment advice.

Final underwriting and credit decisions are made by the relevant financing provider.

9. Fees and payments

GrowthIQ may charge fees for platform usage, financing facilitation, advisory support, successful introductions, disbursements, renewals, top-ups, refinancing or other services.

Any applicable fees will be set out in a separate agreement, fee schedule, engagement letter, invoice, platform notice or other written communication issued by GrowthIQ.

Unless expressly agreed in writing, these Terms do not by themselves create a specific fee obligation. Where a separate fee agreement applies, you agree to pay the applicable fees in accordance with that agreement.

You must not bypass, circumvent or attempt to avoid GrowthIQ where GrowthIQ has introduced, matched, referred, prepared or supported a financing opportunity and a separate fee agreement applies.

10. No circumvention

Where GrowthIQ introduces you to a lender, financing provider, referral partner, channel partner or other third party in connection with a financing opportunity, you agree not to misuse that introduction to avoid GrowthIQ’s role, rights or applicable fees.

This clause applies only to the extent permitted by applicable law and any separate agreement between you and GrowthIQ.

Nothing in these Terms prevents you from using your existing banking or financing relationships independently, provided you do not misuse GrowthIQ’s introductions, work product, lender submissions, platform outputs or confidential information to avoid an agreed obligation to GrowthIQ.

11. Account access and security

If you create an account or access a secure area of our platform, you are responsible for:

keeping your login details confidential
ensuring that only authorised persons access your account
notifying us promptly if you suspect unauthorised access
ensuring that information submitted through your account is accurate and authorised
using secure devices and networks where possible

We may suspend or restrict access to an account if we suspect unauthorised access, misuse, fraud, security risk or breach of these Terms.

12. Acceptable use

You must not use our website, platform or services to:

submit false, misleading, fraudulent or unauthorised information
impersonate another person or business
upload malicious code, viruses or harmful files
attempt to gain unauthorised access to our systems or data
interfere with platform security or functionality
scrape, copy, reverse engineer or misuse platform content or logic
use the platform for unlawful, fraudulent or abusive purposes
infringe the rights of GrowthIQ, lenders, users or third parties
overload, disrupt or damage the website, platform or infrastructure
use GrowthIQ’s outputs or lender submissions in a misleading or unauthorised manner

We may suspend or terminate access where we reasonably believe that a user has breached this clause.

13. Third-party lenders and services

GrowthIQ may provide access, referrals or introductions to third-party lenders, banks, fintechs, private credit providers, underwriters, credit providers, verification providers, service providers and other third parties.

Those third parties are independent from GrowthIQ unless expressly stated otherwise.

GrowthIQ is not responsible for:

third-party lending decisions
third-party pricing
third-party terms and conditions
third-party delays
third-party document requirements
third-party systems or websites
third-party errors or omissions
third-party acts or failures
third-party regulatory or compliance obligations

You should review the relevant lender or third-party terms, conditions, privacy notices and agreements before entering into any arrangement with them.

14. Communications

You agree that GrowthIQ may contact you by email, phone, SMS, WhatsApp, platform notification or other reasonable communication channels for service-related purposes.

These may include:

document requests
application updates
lender feedback
missing information reminders
meeting or call arrangements
platform access updates
security notifications
fee or invoice communications
legal or policy notices

Marketing communications are handled in accordance with our Privacy Policy. You may opt out of marketing communications, but we may still send you service-related messages.

15. Intellectual property

All intellectual property rights in our website, platform, software, workflows, designs, logos, trademarks, lender-matching logic, scoring logic, analytics, templates, content, documents, reports, dashboards and platform outputs belong to GrowthIQ or our licensors, unless otherwise stated.

You may use GrowthIQ’s website, platform and outputs only for your own legitimate business financing purposes.

You must not copy, reproduce, modify, distribute, sell, license, reverse engineer, create derivative works from or commercially exploit any part of GrowthIQ’s website, platform, content, logic, templates, lender lists, matching outputs or analytics without our prior written consent.

16. Confidentiality

You may receive confidential information from GrowthIQ, including lender names, lender criteria, matching logic, pricing indications, internal notes, application strategy, lender feedback, platform outputs, documents, templates or other non-public information.

You must keep such information confidential and use it only for the purpose for which it was provided.

You must not disclose GrowthIQ’s confidential information to any third party without our prior written consent, except where required by law or where disclosure is necessary to your professional advisers for the relevant financing application.

GrowthIQ will also take reasonable steps to protect confidential information submitted by you, as further described in our Privacy Policy and Data Protection & Security Policy.

17. Website content

The information on our website is provided for general informational purposes only.

Website content may refer to financing products, eligibility criteria, lender types, approval timelines, pricing ranges, documentation requirements or market information. Such content is general in nature and may change without notice.

GrowthIQ does not guarantee that website content is complete, accurate, up to date or suitable for your specific circumstances.

You should not rely solely on website content when making business, financial, legal, tax or accounting decisions.

18. Availability of the website and platform

We aim to keep our website and platform available and functioning, but we do not guarantee uninterrupted, error-free or secure access at all times.

We may suspend, restrict, update, modify or discontinue any part of the website, platform or services at any time for reasons including maintenance, security, technical issues, business changes, legal requirements or service improvements.

GrowthIQ is not liable for any loss arising from platform downtime, service interruption, data transmission failure, system error or temporary unavailability.

19. Limitation of liability

To the maximum extent permitted by applicable law, GrowthIQ is not liable for:

loss of profits
loss of revenue
loss of business opportunity
loss of goodwill
loss of data, except where caused by our proven breach of applicable law
financing rejection
lender delays
lender withdrawal
changes to lender criteria
failure to obtain financing
indirect, incidental, special, consequential or punitive damages

GrowthIQ’s total liability arising out of or in connection with the website, platform, services or these Terms will be limited to the amount paid by you to GrowthIQ for the relevant service giving rise to the claim, unless a higher amount is required by applicable law or agreed in a separate written agreement.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

20. Indemnity

You agree to indemnify and hold harmless GrowthIQ, its directors, officers, employees, contractors and representatives against any losses, claims, damages, liabilities, costs or expenses arising from:

your breach of these Terms
inaccurate, incomplete, misleading, fraudulent or unauthorised information submitted by you
your unauthorised use of the platform
your breach of applicable law
your breach of third-party rights
your failure to obtain authority or consent to submit information relating to another person or business
misuse of lender introductions, GrowthIQ outputs or confidential information

21. Suspension and termination

We may suspend, restrict or terminate your access to the website, platform or services if:

you breach these Terms
you provide false, misleading or suspicious information
we suspect fraud, misuse or unauthorised activity
your use creates a security, legal, compliance or operational risk
we are required to do so by law, regulator, court order or government authority
we decide to discontinue or materially change the relevant service

Suspension or termination does not affect rights or obligations that have already arisen, including confidentiality, payment obligations, no-circumvention obligations, limitations of liability, indemnities and dispute provisions.

22. Changes to these Terms

We may update these Terms from time to time to reflect changes in our services, platform, business model, legal requirements, lender processes or operational practices.

The updated version will be posted on our website with a revised “Last updated” date.

Your continued use of the website, platform or services after the updated Terms are posted means you accept the updated Terms.

23. Governing law and dispute resolution

These Terms are governed by the laws of the United Arab Emirates, unless a separate written agreement between you and GrowthIQ states otherwise.

Any dispute arising out of or in connection with these Terms, the website, platform or services will be subject to the jurisdiction of the competent courts of the United Arab Emirates, unless a separate written agreement between you and GrowthIQ provides otherwise.
